Equilibre LLC

Terms of Service

These Terms govern your use of Equilibre Intelligence, operated by Equilibre LLC.

Effective September 10, 2026

Equilibre Intelligence (the "Service") is a Human Authority Platform for coordinated AI agents, provided by Equilibre LLC ("Equilibre", "we", "us") at https://intelligence.equilibrellc.com. Please read these Terms of Service (the "Terms") carefully. They are a binding agreement between you and Equilibre.

Also read Privacy Policy

1. Acceptance of the Terms

By creating an account, accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

If you do not agree to these Terms, do not use the Service.

2. Key definitions

The following terms are used throughout this document:

  • "Agent" means an AI agent identity operated within the Service (for example a research, content, marketing or publishing agent) that plans, drafts, analyzes or executes work under a human's delegated authority.
  • "EHIP" means the Equilibre Human Identity Protocol: the authority layer of the Service that evaluates whether an Agent may perform a requested capability, on a given resource, under the authority a human has delegated for a given intent, and that records each decision.
  • "Mission" means a goal you submit and the plan of tasks the Service derives from it.
  • "Connected Account" means a third-party account (such as a Google, YouTube or TikTok account) that you link to the Service through the third party's authorization flow.
  • "Business Context" means the business, product and source information you or your organization provide to the Service or import from your own public website.
  • "Content" means any text, media, data, instructions or other material you submit to the Service, and any output the Service generates for you.

3. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Service. The Service is intended for business and professional use. You may not use the Service if you are prohibited from doing so under applicable law or under the rules of a third-party platform you connect.

4. Accounts and security

You may sign in with an email address and password, a magic link, or Google sign-in. You are responsible for keeping your credentials confidential, for all activity that occurs under your account, and for promptly notifying us at contact@equilibrellc.com of any unauthorized use.

Each account belongs to a workspace (an organization). Data in one workspace is isolated from other workspaces. You are responsible for the people you allow into your workspace and for the authority they grant to Agents.

We may suspend or restrict an account to protect the Service, other users, or third parties, or where required by law, as described in the suspension and termination section.

5. The Service

Equilibre Intelligence is a software-as-a-service platform. Depending on your plan, it lets you describe goals as Missions; lets Agents research, analyze, plan and draft; lets you maintain Business Context; lets you connect third-party accounts; lets Agents prepare and, only with your authorization and approval where required, execute actions on those accounts; and gives you Action Receipts, an Authority Center, Kill Access controls and an audit trail.

We may add, change, or remove features over time. Some features depend on third-party platforms and on your plan, and may not be available to every account.

6. AI-generated content and AI limitations

The Service uses artificial-intelligence models, including models operated by third-party providers, to research, analyze, plan, draft and recommend. AI output can be inaccurate, incomplete, outdated, biased, or inappropriate for your purpose, and may reflect information found on the public web that is unverified.

Equilibre does not guarantee the accuracy, completeness, reliability, originality, or fitness for any purpose of AI-generated output. You must review AI output before relying on it, publishing it, or acting on it. Where the Service labels information by provenance (for example owner-provided, owner-verified public web, external research, or AI inference), those labels are aids to your judgment, not warranties.

You are responsible for verifying facts, claims, rights and compliance for anything you approve, publish, send or spend.

7. Human authority, EHIP and delegated authority

The Service is built on the principle that authority comes from humans. Agents have no authority by default. When you submit a Mission or grant a delegation, you are granting Agents scoped, purpose-bound, time-limited and revocable authority to attempt specific capabilities on specific resources. EHIP evaluates each protected action against that authority and against your intent, and records an ALLOW, DENY or REQUIRES_HUMAN_APPROVAL decision.

Sensitive actions — including publishing to a Connected Account and any spending — require your explicit approval, and an approval applies only to the specific action you approve. Kill Access lets you suspend an Agent's authority at any time, independently of any third-party connection.

You remain responsible for the authority you grant, the approvals you give, the Kill Access decisions you make, and the resulting actions. Authorizing a third-party account (for example through Google or TikTok) is a technical permission from that provider; it is not, by itself, an instruction to Agents to act, and Agents may act on that account only within the authority EHIP confirms.

EHIP is a control layer that reduces the risk of unauthorized actions; it is not a guarantee that every outcome will match your expectations, and it does not replace your review of what Agents propose.

8. Connected third-party services

You may connect third-party accounts to the Service using the third party's own authorization flow. When you do, you authorize the Service to access your account within the permissions (scopes) the third party grants, and you agree that your use of that platform remains subject to its terms, policies, eligibility rules, review processes and rate limits.

Connected Accounts expose technical capabilities; they do not grant Agents authority. Every protected action on a Connected Account still passes EHIP and, where required, your approval. You can disconnect a Connected Account from the Service at any time, and you can also revoke the Service's access from the third party's own settings.

Equilibre does not control third-party platforms and does not guarantee that a platform, its API, or a particular capability will be available, remain unchanged, approve our application for a given feature, or accept a particular action. Access can be limited by missing permissions, provider approval or review requirements, account eligibility, rate limits, expired or revoked tokens, or provider outages. The Service reports these states as honestly as the provider allows.

9. Google and YouTube integrations

The Service offers a Google sign-in for humans, a read-only Google account connection, and a YouTube connection. The YouTube connection uses Google's official OAuth and the YouTube Data API and YouTube Analytics API only after you authorize it, and only within the scopes you grant (channel identity, uploading videos to your channel, and reading your channel's analytics).

Publishing to YouTube requires an Agent proposal, EHIP authorization and your explicit approval of the exact title, description, visibility and video. Videos are created only on the channel you connected and with the visibility you approve. YouTube's own policies, quotas, verification requirements and API rules apply, and Google may limit or revoke access at any time.

You can disconnect YouTube from the Service at any time, and you can revoke the Service's access from your Google Account permissions. Our use of information received from Google APIs is described in the Privacy Policy and adheres to the Google API Services User Data Policy, including the Limited Use requirements.

10. TikTok integration

The Service offers a TikTok connection using TikTok's official login and content-posting APIs, only after you authorize it and only within the permissions you grant. Whether a post can be published — and with what visibility — depends on the permissions granted, on your TikTok account's eligibility, and on TikTok's review and approval status of our application. Until TikTok approves a capability, the Service will report that limitation instead of pretending it is available.

Publishing to TikTok requires an Agent proposal, EHIP authorization and your explicit approval of the exact caption, visibility and video. You are responsible for the content you approve and publish and for its compliance with TikTok's Community Guidelines and Terms of Service. You can disconnect TikTok from the Service at any time and revoke access from your TikTok settings. Equilibre does not guarantee the availability of TikTok's APIs.

11. Billing, subscriptions and Stripe

Paid plans are billed as recurring subscriptions. Card payments are processed by Stripe; Equilibre does not store your full card number. Where we offer manual payment methods, a subscription becomes active only once the payment is confirmed by us.

Prices are shown before you subscribe. Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current period, and fees already paid are non-refundable except where required by applicable law or expressly stated by us.

The Service meters AI and connector usage in credits included in your plan. Credits are not currency, have no cash value, and may expire at the end of a billing period as described on the plan. We may change prices with reasonable advance notice; changes apply from your next renewal.

Taxes may apply and are your responsibility unless we state otherwise. If a payment fails or a subscription lapses, features may be restricted to the free tier until payment is restored.

12. Plan limits and entitlements

Each plan defines entitlements such as the number of Connected Accounts, whether external execution on third-party platforms is permitted, scheduling, autonomy levels, monthly credits and compliance exports. Entitlements are enforced server-side. A plan unlocks a capability; it does not grant Agents authority to use it — authority always comes from you through EHIP.

Some accounts (for example internal or founder accounts) may hold entitlements that differ from published plans. Entitlements may change with your plan, your billing status, and future updates to the Service.

13. Acceptable use

You agree to use the Service only for lawful purposes, in compliance with these Terms, with the terms and policies of every third-party platform you connect, and with all applicable laws, including advertising, consumer-protection, intellectual-property, privacy and data-protection laws. You are responsible for the accuracy and legality of your Business Context and for the rights in any media you provide for publication.

14. Prohibited conduct

You must not, and must not allow Agents or others to:

  • use the Service to publish, distribute or promote content that is unlawful, infringing, defamatory, deceptive, hateful, harassing, sexually exploitative, or that violates a connected platform's rules;
  • engage in spam, artificial engagement, manipulation of platform metrics, or coordinated inauthentic behavior;
  • attempt to bypass EHIP, approvals, Kill Access, plan limits, rate limits, or any security or authority control of the Service;
  • access or attempt to access another workspace's data, tokens, accounts or approvals;
  • reverse engineer, scrape, or interfere with the Service, or use it to build a competing product from our non-public materials;
  • upload malware, or use the Service to attack, probe, or overload third-party systems;
  • misrepresent your identity, your authority to act for an organization, or your rights in content;
  • use the Service for scraping, automation or unofficial access to third-party platforms outside their official APIs.

15. Your content and ownership

You retain ownership of the Content you submit and of the Business Context you provide. Subject to third-party rights and the rights of the AI model providers in their models, and to the extent permitted by law, output generated by the Service for you is yours to use, and Equilibre does not claim ownership of it. You are responsible for verifying that output does not infringe third-party rights before you use or publish it.

16. Licenses necessary to operate the Service

You grant Equilibre a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, adapt, transmit and display your Content and Business Context solely to provide, secure, support and improve the Service for you, to execute the actions you authorize (for example uploading a video you approved to your channel), and as otherwise permitted by the Privacy Policy. This license ends when the Content is deleted from the Service, except for copies retained in audit records, backups, or as required by law.

You represent that you have all rights necessary to grant this license, including for any media you provide for publication and for any information about your business and products.

17. Our intellectual property

The Service, including its software, EHIP, agent identities, designs, documentation, trademarks and content we provide (excluding your Content), is owned by Equilibre LLC or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms and your plan. All rights not expressly granted are reserved. Feedback you provide may be used by us without obligation.

18. Third-party platforms and APIs

The Service depends on third-party platforms and services, including Google, YouTube, TikTok, Stripe, Supabase, AI model providers, e-mail delivery and hosting providers. Their availability, terms, pricing, policies and technical rules are outside our control and may change without notice. We are not responsible for the acts, omissions, outages, policy decisions, review outcomes or content of third parties.

19. Suspension and termination

You may stop using the Service at any time and may cancel a paid subscription as described above. We may suspend or terminate your access, with or without notice, if you materially breach these Terms, if your use creates risk or legal exposure for Equilibre, other users or third parties, if a third-party platform requires it, if required by law, or if the Service is discontinued.

On suspension, Agents lose the ability to act under your workspace's authority. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, licenses needed for retained records, disclaimers, limitation of liability, indemnification, governing law) survive.

20. Account deletion

You may request deletion of your account and workspace data by contacting contact@equilibrellc.com from the e-mail address associated with your account, or through any deletion control we provide in the Service. Disconnecting Connected Accounts deletes the stored tokens for those accounts. We will delete or de-identify personal data as described in the Privacy Policy, subject to retention of records we must keep for security, fraud prevention, accounting, legal compliance, dispute resolution, and the integrity of authority and audit trails.

21. Service availability and changes to the Service

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates, capacity limits, third-party outages and events outside our control may affect availability. We may modify, suspend or discontinue all or part of the Service, features, plans or integrations. Where a change materially reduces a paid feature, we will use reasonable efforts to notify you.

22. Disclaimers

THE SERVICE, ALL AI OUTPUT, AND ALL INTEGRATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE SECURE, ERROR-FREE OR UNINTERRUPTED. EQUILIBRE DOES NOT WARRANT THAT AI OUTPUT IS ACCURATE, THAT AGENT ACTIONS WILL ACHIEVE ANY RESULT, THAT ANY THIRD-PARTY PLATFORM OR API WILL BE AVAILABLE OR WILL APPROVE OR ACCEPT ANY ACTION, OR THAT AUTHORITY CONTROLS WILL PREVENT EVERY UNDESIRED OUTCOME. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

23. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUILIBRE AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE, AI OUTPUT, AGENT ACTIONS, CONNECTED ACCOUNTS, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUILIBRE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO EQUILIBRE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD 100) IF YOU HAVE NOT PAID ANYTHING. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

24. Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless Equilibre and its members, officers, employees and contractors from claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising from your Content, your Business Context, media you provide, actions you authorize or approve, your use of Connected Accounts, your breach of these Terms or of a third-party platform's terms, or your violation of law or of third-party rights.

25. Changes to these Terms

We may update these Terms from time to time. The effective date at the top of this page shows when the current version took effect. For material changes we will provide reasonable notice, for example in the Service or by e-mail. Continued use of the Service after a change takes effect means you accept the updated Terms. If you do not agree, stop using the Service and, where applicable, cancel your subscription.

26. Governing law and disputes

These Terms are governed by the laws of the United States and of the State in which Equilibre LLC is organized, without regard to conflict-of-laws principles. Subject to any mandatory consumer-protection law that applies to you, the state and federal courts located in that State have exclusive jurisdiction over disputes arising from these Terms or the Service, and you consent to their jurisdiction. Before starting a formal proceeding, you agree to contact us at contact@equilibrellc.com so we can try to resolve the matter informally. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between you and Equilibre regarding the Service.
